The North America team is currently looking for a General Counsel who will serve as the chief legal advisor to the company, providing expert and strategic legal advice to management, reporting to our CEO. This role involves overseeing all legal matters, including corporate governance, compliance, risk management, and contract negotiations. The ideal candidate will have a strong background in corporate law and experience in a business environment focused on project business.

 

Your Impact

  • Provide legal advice to the executive leadership team on a variety of legal matters, including corporate governance, compliance, intellectual property, and employment law to support the company’s business objectives and project goals
  • Evaluate compliance needs of the GSI group and work with management on establishing compliance team; lead that legal and compliance team and oversee the company’s compliance with local, state, and federal laws and regulations.
  • Identify, assess, and manage legal risks associated with the company’s projects and operations, implementing policies and procedures to mitigate these risks, as well as represent the company in legal proceedings and manage relationships with external legal counsel.
  • Design and implement company policies and procedures in a post carveout environment, review and draft contracts, agreements and other legal documents, as well as maintain and update corporate records, including minutes of board meetings and shareholder agreements.
  • Support negotiations with customers, dealers, vendors and suppliers.
  • Develop and lead internal training programs on legal and compliance issues.

 

Your Experience and Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in Illinois.
  • Minimum of 7 years of experience in corporate law, preferably in a business environment.
  • Strong understanding of corporate governance, compliance, and risk management with high ethical standards and professional integrity.
  • Excellent negotiation, communication, and interpersonal skills, including pragmatic approach to resolving legal and business issues

Your Compensation and Benefits

Expected total compensation for this role will be $230k – 240k. This is dependent upon job related knowledge, experience, and skills.
